Miguel L. Lopez | Treasurer, Executive Vice President and Head-Corporate Affairs, Filipino
Miguel L. Lopez (aged 57), Filipino, has been with the company since 2010 and was elected treasurer on October 2, 2020. He is also executive vice president and head of Corporate Affairs. Concurrently, he is senior vice president and head of Office Commercial Development of Rockwell Land. He has been a director and treasurer of Rockwell Land (publicly listed) since 2009, a director of FPH (publicly listed), and director and treasurer of Lopez, Inc. Before joining Lopez Holdings, he was vice president and head of Corporate Marketing and Communications of Meralco until August 2010. He also served as the head of the Central Business Area of Maynilad Water Services, Inc. before joining Meralco. He sits on the board of directors of Rockwell Carmelray Development Corporation, Rockwell MFA Corporation, Rockwell Primaries Development Corporation, Rockwell Nepomuceno Development Corporation, Rockwell Center Association, Inc., and INAEC Aviation Corporation. He is the chairman of 8 Rockwell Condominium Corporation and Rockwell Leisure Club, Inc. He serves as treasurer of Rockwell-IPI Corporation and as a member of the board of trustees of Lopez Group Foundation Inc. He earned a Bachelor of Science degree in Business Administration from Menlo College in California and attended the Executive Development Program of the Asian Institute of Management. Enrique I. Quiason | Corporate Secretary, Filipino
Enrique I. Quiason (aged 65), Filipino, has been the corporate secretary of the company since June 8, 1993. He received his Bachelor of Science degree in Business Economics and Bachelor of Laws degree from the University of the Philippines, and Master of Laws degree in Securities Regulation from Georgetown University. He is a senior partner of the law firm of Quiason Makalintal. He is the corporate secretary, among other companies, of FPH, ABS-CBN, Rockwell Land, and ABSP (all publicly listed), and of Lopez, Inc. He last attended corporate governance training on October 24, 2025. He owns 98,781 Lopez Holdings shares.

Maria Amina O. Amado | Vice President, Legal, Assistant Corporate Secretary and Compliance Officer, Filipino
Maria Amina O. Amado (aged 62), Filipino, has been the assistant corporate secretary since 1994 and is currently vice president for Legal and compliance officer of the company. She is also the corporate secretary and assistant corporate secretary of various Lopez Holdings subsidiaries and affiliates. She is a director and the assistant corporate secretary of ABSP (publicly listed). She graduated with an A.B. Political Science degree in 1984 and a Bachelor of Laws degree in 1989 from the University of the Philippines. She completed the academic requirements for the Executive Masters in Business Administration program of the Asian Institute of Management in 2000. She last attended corporate governance training on October 24, 2025. She owns 435,788 Lopez Holdings shares.

Marifi H. HernandezHead of Internal Audit, Filipino
Marifi H. Hernandez (aged 54), Filipino, was appointed as head of Internal Audit in 2014 and continues to serve as such. She is the senior vice president–Comptroller of Lopez, Inc., having been with said company since 1996. She worked with SyCip, Gorres, Velayo & Co. from 1991 to 1996. She is a Certified Public Accountant and a member of the Philippine Institute of Certified Public Accountants. She received her degree, Bachelor of Science in Commerce Major in Accounting, from the University of Santo Tomas in 1991, and completed the Strategic Business Economic Program of the University of Asia and the Pacific in 2008. She last attended corporate governance training on October 24, 2025. She owns no Lopez Holdings shares.

Maria Carla P. SisonHead-Risk Management, and Assistant Vice President, Media and Investor Relations, Filipino
Maria Carla P. Sison (aged 57), Filipino, joined the company in 1999 and has been head of Risk Management since 2015. She is also concurrently assistant vice president for Media and Investor Relations. She graduated with the degree of Doctor of Dental Medicine (1991) from the University of the Philippines Manila, and with the degree of Master of Business Administration (2007) from the University of the Philippines Diliman. She is the country’s first Accredited Business Communicator (since 2010) and is a graduate member of the Institute of Corporate Directors (since 2014). She last attended corporate governance training on October 24, 2025. She owns no Lopez Holdings shares.

Training for Officers

The officers receive relevant training on an annual basis. On October 24, 2025, SGV & Co (Ernst & Young) provided corporate governance training to the Company’s directors, officers and those of other companies in the Lopez Group, on the following topics:

1) Agentic Artificial Intelligence
2) Cybersecurity

The training was done remotely via the Zoom platform.

Remuneration

The components of the Company’s compensation philosophy are as follows: alignment of employee and shareholder interests; compensation that is in line with industry benchmarks; rewarding of employees for their skills and performance, more than tenure; and attracting and retaining key people. As such, the remuneration of key officers is set taking into consideration the following factors: (i) duties and responsibilities of the position; (ii) professional experience; (iii) academic attainment; (iv) industry benchmarks; and (v) what the company can afford. The company’s Human Resources head works with the Corporate Governance Committee (CGC) to set the remuneration of an officer prior to appointment/employment, the CGC recommends the amount of remuneration of an officer to the Board for approval. Any future adjustment will be based on performance, market compensation surveys, and economic indices. An annual performance appraisal is carried out. Officers are also entitled to profit-sharing pursuant to Article 9 Section 2 of the by-laws of the Company.

Succession Planning and Retirement

The company’s training and succession policies take into consideration the need to train employees and officers to give them the necessary knowledge and skills, and the opportunity to progress to the next higher position in the company. In the absence of talent within the company to fill a position that will be vacated due to the separation of an employee or officer (due to resignation, retirement or other reason), the company will look within subsidiaries and affiliates, and in the absence of such, a search firm may be contracted to assist with locating candidates.

The company’s retirement policy and plan set the retirement age of regular employees at 60 years old. Should the Board see the need to extend the service of a key officer, such officer will nonetheless be retired as a regular employee if he is such, and then engaged in a capacity other than as a regular employee.

Management’s Responsibility for Financial Statements

On an annual basis, management, led by the CEO and the President, attest to their responsibility for the preparation and fair presentation of the financial statements of the company, in accordance with the Philippine Financial Reporting Standards, and for such internal control as management determines is necessary to enable the preparation of financial statements that are free from material misstatement, whether due to fraud or error.

As part of the process for the same, the Chief Executive Officer and the Head of Internal Audit attest in writing to the soundness of the internal audit and compliance system that is in place, and that of their working effectively.
