Audit Committee

The Audit Committee assists the Board in fulfilling its oversight responsibilities for management and financial reporting processes, the system of internal controls, the maintenance of effective internal and external audit processes, and the Corporation’s process for monitoring compliance with laws and regulations. The committee has three members, all of whom are independent directors. The internal audit group of its parent, Lopez, Inc., serves as Lopez Holdings’ Internal Audit Group. The Internal Audit Group reports to the Board through the Audit Committee

The committee had four meetings in 2025. All members were present at all four meetings.

Corporate Governance Committee

The Corporate Governance Committee assists the Board (i) in the performance of its corporate governance responsibilities, including the determination of the process for the nomination and election of directors, and for the appointment and promotion of senior officers, (ii) in the performance of the functions that were formerly assigned to the Compensation and Remuneration Committee, and (iii) in reviewing all material related party transactions of the Corporation. The committee has three members, all of whom are independent directors.

The committee had two meetings in 2025. All members were present at both meetings.

Board Risk Oversight Committee

The Board Risk Oversight Committee assists the Board in ensuring that there is an effective and integrated risk management process in place. It is responsible for the oversight of the Corporation’s Enterprise Risk Management system to ensure its functionality and effectiveness. The committee has four members, three of whom are independent directors.

The committee had two meetings in 2025. All members were present at both meetings.

Governance Protocol

Lopez Holdings complies with the Manual of Corporate Governance. The Company submitted its Integrated Annual Corporate Governance Report for 2024 in May 2025. It complies with governance regulatory requirements. In 2025, it filed the required disclosures with the Securities and Exchange Commission and the Philippine Stock Exchange, which are all available for downloading on this page of this website.

Its directors and officers regularly attend corporate governance training, the last one done virtually through a webinar conducted by SGV & Co (Ernst & Young) on October 24, 2025.

Directors and officers are required to inform the Company within two trading days when transacting in company shares, regardless of whether the dealings are within or outside the blackout periods.

Lopez Holdings has standing policies governing insider trading, conflict of interest, material related party transactions, anti-bribery and corruption, whistle blowing, nomination and election of directors, and data privacy, all approved by the board.
